Partner Programme Terms & Conditions

Important Notice

Please read these terms carefully before joining our Partner Programme. By submitting a partner application, you agree to be bound by these terms and conditions. If you do not agree with any part of these terms, please do not apply to become a partner.

1. Definitions

"ProQuotar" refers to ProQuotar Ltd, the company operating the ProQuotar software platform.

"Partner" refers to any individual or entity accepted into the ProQuotar Partner Programme.

"Referral" refers to a new customer who signs up using the Partner's unique referral code or link.

"Commission" refers to the monetary compensation paid to Partners for successful referrals.

"Active Partner" refers to a Partner who meets the minimum activity requirements outlined in Section 5.

"Subscription" refers to a paid ProQuotar subscription tier (Bronze, Silver, Gold or Gold Team).

2. Commission Structure

Partners earn commission on referred customers based on the following rates:

Bronze (£29/month)15% of subscription
Silver (£49/month)20% of subscription (£9.80/month)
Gold (£69/month)25% of subscription (£17.25/month)
Gold Team (£99/month)25% of subscription (£24.75/month)

⚠️ Important: Pre-VAT Calculation

All commission percentages are calculated on the pre-VAT (net) subscription price, not the VAT-inclusive price paid by the customer. For example, if a Silver subscription costs £49 including VAT, the commission is calculated on the pre-VAT amount of approximately £40.83.

2.1 Team Leader Override

Partners who achieve Team Leader status earn an additional 5% override commission on all sales made by partners within their team. Team Leader qualification criteria are determined by ProQuotar and may be updated from time to time.

3. Payment Terms

3.1 Payment Schedule

Commission payments are processed at the end of each calendar month for all commissions earned during that month. Payments are typically received within 5-7 business days of processing.

3.2 Payment Method

All commission payments are made via bank transfer (BACS) to the account details provided by the Partner. Partners are responsible for ensuring their banking details are accurate and up to date.

3.3 Minimum Payout

There is no minimum payout threshold. All earned commissions will be paid regardless of amount.

3.4 Tax Responsibility

Partners are solely responsible for reporting and paying any taxes due on commission income in accordance with applicable laws. ProQuotar does not withhold taxes from commission payments. Partners operating in the UK may be required to register for self-assessment with HMRC.

4. Clawback Policy

🔄 Commission Clawback

If a referred customer cancels their subscription within the 14-day cooling-off period (as required by UK Consumer Rights Act 2015), or receives a refund for any reason within this period, any commission paid to the Partner for that referral will be deducted from future commission payments.

This policy ensures that Partners are compensated only for genuine, retained customers. The clawback amount will be equal to the full commission paid for the cancelled subscription.

If the clawback amount exceeds future commission earnings, the outstanding balance will be carried forward until recovered through future commissions.

5. Activity Requirements

5.1 Active Partner Status

To maintain Active Partner status and continue receiving commission payments, Partners must bring in at least one (1) new referral per calendar month.

5.2 Inactive Partner Consequences

Partners who fail to meet the minimum activity requirement for two (2) consecutive months will be classified as Inactive. Inactive Partners will receive a warning notification and have 30 days to bring in a new referral to restore Active status.

5.3 Commission During Inactivity

Commission payments will continue during the warning period. If Active status is not restored within the warning period, commission payments may be suspended until activity resumes.

6. Termination

6.1 Voluntary Termination

Partners may terminate their participation in the Partner Programme at any time by providing written notice to ProQuotar via email.

6.2 Final Payment (Grace Period)

💰 1-Month Grace Period

Upon termination (whether voluntary or by ProQuotar), Partners will receive one (1) final month's commission payment based on their existing referrals at the time of termination. After this final payment, all commission payments will permanently cease.

6.3 Termination by ProQuotar

ProQuotar reserves the right to terminate a Partner's participation immediately for:

  • Breach of these terms and conditions
  • Fraudulent activity or misrepresentation
  • Violation of the Non-Compete clause (Section 7)
  • Conduct that damages ProQuotar's reputation
  • Extended inactivity (as defined in Section 5)

6.4 Effect of Termination

Upon termination, the Partner's referral code will be deactivated and they will no longer be able to refer new customers. Existing customers referred by the terminated Partner will remain ProQuotar customers but will no longer generate commission for the former Partner after the grace period.

7. Non-Compete Clause

🚫 Exclusivity Requirement

While participating in the ProQuotar Partner Programme, Partners agree not to actively promote, sell, or represent competing job management, quoting, or invoicing software products targeted at tradespeople, contractors, or similar businesses.

7.1 Definition of Competing Products

Competing products include, but are not limited to, software applications that offer job management, quote generation, invoicing, or business management features primarily designed for tradespeople, contractors, plumbers, electricians, builders, or similar service-based businesses.

7.2 Consequences of Breach

Violation of this non-compete clause will result in immediate termination from the Partner Programme without the grace period payment, and ProQuotar reserves the right to pursue recovery of commissions paid during the period of breach.

7.3 Duration

This non-compete obligation remains in effect for the duration of the Partner's participation in the programme and for six (6) months following termination.

8. Marketing & Conduct

8.1 Permitted Marketing

Partners may promote ProQuotar through:

  • Personal recommendations and word of mouth
  • Social media posts (personal accounts)
  • Business networking events
  • Email to personal contacts (with their consent)

8.2 Prohibited Activities

Partners must NOT:

  • Make false or misleading claims about ProQuotar
  • Spam or send unsolicited bulk communications
  • Use ProQuotar's trademarks without permission
  • Create fake reviews or testimonials
  • Offer unauthorised discounts or incentives
  • Engage in any illegal marketing practices

8.3 Brand Guidelines

Partners must adhere to ProQuotar's brand guidelines when using logos, images, or marketing materials. Guidelines are available upon request.

9. Confidentiality

Partners agree to keep confidential any non-public information shared by ProQuotar, including but not limited to:

  • Commission rates and payment details of other Partners
  • Customer information and data
  • Internal business strategies and plans
  • Unreleased product features or roadmaps

This confidentiality obligation survives termination of the Partner relationship.

10. Modifications

ProQuotar reserves the right to modify these terms and conditions at any time. Partners will be notified of material changes via email at least 30 days before they take effect.

Continued participation in the Partner Programme after changes take effect constitutes acceptance of the modified terms.

11. Governing Law

These terms and conditions are governed by the laws of England and Wales. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
